4. Compensation for Specifications. The Service Provider has not received compensation for the
participation in the preparation of the specifications for this bid, offer, proposal, or contract.
5. Texas Family Code Child Support Certification. Pursuant to Section 231.006 (d) of the
Family Code, the Service Provider certifies that the individual or business entity named in this
bid, offer, proposal or contract is not ineligible to receive the specified contract and
acknowledges that this contract may be terminated and/or payment may be withheld if this
certification is inaccurate.
6. Eligibility Certification. Pursuant to Section 2155.004, Texas Government Code, Service
Provider certifies that the individual or business entity named in this Agreement is not ineligible
to receive the award or payments under this Agreement and acknowledges that this Agreement
may be terminated and payment withheld if this certification is inaccurate (relating to the
collection of state and local Sales and Use Taxes).
7. Indemnify. The Service Provider shall defend, indemnify, and hold harmless UT Dallas, all of
its officers, agents and employees from and against all claims, actions, suits, demands,
proceedings costs, damages, and liabilities, arising out of, connected with, or resulting from any
acts or omissions of Service Provider or any agent, employee, subcontractor, or supplier of
Service Provider in the execution or performance of this bid, offer, proposal or contract.
8. Payment of Debt or Delinquency to the State. Pursuant to Sections 2107.008 and 2252.903,
Texas Government Code, Service Provider agrees that any payments owing to Service Provider
under this Agreement may be applied directly toward any debt or delinquency that Service
Provider owes the State of Texas or any agency of the State of Texas regardless of when it arises,
until such debt or delinquency is paid in full.
a. Former State Executive. Service Provider certifies that they are in compliance with
section 618.003 of the Government Code, relating to contracting with the executive head
of a state agency. If section 618.003 applies, service provider will complete the
following information in order for the bid to be evaluated:

9. Products and Materials Produced in Texas. Service Provider agrees to comply with
Government Code 2155.4441, pertaining to service contract use of products produced in the
State of Texas.
10. Dispute resolution process. As provided for in Chapter 2260 of the Texas Government Code,
must be used by all state agencies and the Service Provider to attempt to resolve all disputes
arising under this contract. The parties of this agreement will encourage the prompt and equitable
settlement of all controversies or claims between the parties. The parties agree to negotiate their
differences directly and in good faith for a period of no less than thirty (30) days after receiving
written notification of the existence of a dispute. If the dispute is not resolved within thirty (30)
days after written notification of the existence of a dispute, the parties agree to submit their
dispute to a licensed attorney that is an experienced mediator and is located in Travis County,
Texas to work with them to resolve their differences utilizing non-binding mediation. This
mediation is a compromise negotiation for purposes of Rule 408 of the Federal Rules of
Evidence and Texas Rules of Evidence and is an alternative dispute resolution procedure subject
to Section 154.073 of the Texas Civil Practice and Remedies Code. If after non-binding
mediation occurs, the dispute is not resolved, the parties are free to exercise all other legal and
equitable rights.
