INSTRUCTIONS (Please retain for your records):
Refer to Alaska Statutes 10.50.570. The following entities may convert to a domestic limited liability
company: a business trust, an association, a real estate investment trust, a common law trust , or any
other unincorporated business, including a general partnership, a limited partnership, a limited liability
partnership, a foreign limited partnership, a foreign limited liability partnership, and a foreign limited
liability company.
A domestic corporation may convert to a limited liability company only if it is a subsidiary corporation
that is owned directly or indirectly by one or more parent corporations. A foreign corporation may
convert to a domestic limited liability company only if its state of domicile allows it to do so.
Please note: The following only applies to business corporations as defined in AS 10.50.570(j):.By filing the
Certificate of Conversion, all officials currently on record will be removed on the date the conversion is to take
effect. To add members and/or managers please complete the Change of Officials form, the fee is $25.
NOTICE: The Certificate of Conversion must be filed in conjunction with Articles of Organization for a Domestic
Limited Liability Company and the applicable $250.00 fee – see form 08-484.
ITEM 1: Provide the name of the entity immediately before filing of the certificate of conversion to a limited
liability company i.e. prior to conversion.
ITEM 2: Provide the name of limited liability company as listed on the articles of organization attached to this
form.
ITEM 3: Provide the jurisdiction where the entity as first registered i.e. the entity listed in number 1.
ITEM 4: Date and the jurisdiction where the other entity was first created, formed, incorporated or otherwise
came into being:
ITEM 5: Provide the effective date of the conversion if it is not to be effective upon the filing of the certificate.
ITEM 6: The name, title and signature of one or more persons organizing the conversion. Note: The signatory
must be an organizer of the LLC.
Mail the completed application and the non-refundable $25.00 filing fee in U.S. dollars, along with the Articles
of Organization for a Domestic Limited Liability Company and $250.00 to:

STANDARD PROCESSING TIME for complete and correct applications submitted to this office is
approximately 10-15 business days. All applications are reviewed in the date order they are received.
