This Agreement by and between the Employment Development Department (EDD) and

(the Employer) is entered into pursuant to the California

Unemployment Insurance Code (CUIC).

EDD and the Employer agree as follows:

1. EDD authorizes the Employer or its authorized agent to file all reports or returns required to be filed

with EDD under the CUIC by means of electronic transmission. The Employer will not be required to

mail paper reports or returns, upon acceptance of the EDI transaction set.

2. The signature of the Employer or its authorized agent affixed to this Agreement shall be deemed to

appear on each electronically filed report or return, as if so appearing.

3. The parties agree not to contest the validity or enforceability of any report or return filed in electronic

format pursuant to this Agreement on the basis of absence of paper-based writings or originals, or the

affixation of signature thereto. The parties stipulate and agree that any report or return filed in

electronic format shall be deemed admissible in any administrative or judicial proceeding to show that

the report or return was submitted to EDD by the Employer in the normal course of business.

4. The Employer or its authorized agent shall be responsible for registering and maintaining the

Employer's D-U-N-S Number and adhering to the password security procedures established by its

communication provider to prevent unauthorized filings under this Agreement.

5. The Employer or its authorized agent will be responsible for establishing connectivity with a

communication provider for sending reports or returns to EDD's authorized Value Added Network

(VAN) mailbox.

6. The Employer's or its authorized agent's electronic transmission of all reports and returns filed under

this Agreement must be made in a manner compatible with EDD's software, equipment, and facilities.

7. This Agreement shall not alter the due dates for filing reports or returns or penalties imposed for the

failure to timely file complete reports or returns, as set forth in the CUIC.

8. This Agreement may be amended only by written addendum executed by EDD and the Employer.

9. This Agreement may be terminated by either party, with or without cause, upon no less than sixty

(60) days prior written notice to the other party.

10. This Agreement shall be governed by the laws of the State of California.

This Agreement represents the entire understanding of the parties in relation to the electronic filing of

reports and returns.
